Job Title: Director Finance Integration

Reports to: VP Finance Transformation

Location: Global role

Position Summary

The primary responsibilities of this position includes managing all aspects of integration including partnering with third parties on deal analysis for potential acquisitions or divestitures, working with the acquired or divested sites or businesses to prepare for deal closure, analyzing work to be performed under a TSA and planning the eventual exit and connecting with a new site to prepare the books and records for consolidation as well as guidance converting to Catalent policies and procedures. The role will also be responsible for integrating the finance function across other business functions ensuring all critical controls and processes are understood and implemented effectively.

The Role

  • Partnering with third parties on deal analysis. This includes working with the bankers and outside accounting firms as necessary to support the create of the financial models that are necessary to fully evaluate the transaction and with the controllership team on all accounting matters arising during diligence. It includes but is not limited to analysis of the income statement, product and profitability, cash flow and balance sheet.

  • Working with acquired/divested sites or businesses to prepare for deal closure: In this period, work will be focused on preparation for deal closure. In the case of an acquisition, getting to know the new team and understanding the systems and capabilities and what will be provided if anything under the TSA. Coordinating with the Corporate technical accounting team on preliminary acquisition accounting with the team. In the case of a divestiture, working with the team that is departing and the Corporate team on settling intercompany and any other accounting requirements. If work is going to continue to be performed by Catalent under a TSA coordinate with those teams on next steps and processes post divestiture.

  • Analyzing the finance work to be performed under a TSA: This includes communicating with either the acquired or divested team during the period of the TSA to make sure appropriate services are preformed as well as monitoring the work stream necessary for both companies to become independent in the agreed time frame.

  • Connecting with a new site to prepare the books and records for consolidation: this includes working with Catalent Corporate Technical accounting team to record appropriate acquisition accounting entries, help the site map P&L and balance sheet to HFM; educate and prepare for a the monthly forecasting requirements; and evaluating accounting policies to help the site align with those expectations including revenue recognition, inventory accounting and reserves and accounts receivable reserves. Any exceptions granted by the Corp team need to be documented and agreed. It may include liaising with external audit on an opening balance sheet review and/or opening balance sheet working capital analysis.

  • Stand ready to support critical open positions across the Catalent network as and when they arise. As critical positions such as Finance Director or Finance Controller become vacant, this individual will be responsible for stepping in and filling the void on a temporary basis whilst recruitment efforts are underway for a permanent replacement. It is expected the length of these assignments to range between one and three months.

  • Other special projects as they arise

The Candidate

  • Bachelor’s Degree in Accounting/Finance. CPA/MBA optional. Work experience as a finance director/Controller leading a site finance team is highly valued. Approximately 10 years of related experience.

  • This position will be knowledgeable of highly confidential information. The person who fills this roll will need to be able to keep that information to themselves.

  • Ability to multi-task and demonstrate diplomatic skills and drive timely results

  • Proficient (excellent) in English verbal and written communication skills to convey and receive ideas and instructions to/from others within and outside the organization

  • Ability to effectively present information and respond to questions from peers, management, suppliers and customers

  • Proficient skills in Microsoft Office applications (Word, Excel, PowerPoint, Access), Power BI and the aptitude to learn other applications and apply them to find incremental benefit across finance
